Acceptance of the Agreement

By accessing, browsing, connecting to, using, or creating an account on the Sofrah website, mobile applications, or any other software, platform, or digital service operated by InfinityOps Tech LLC (collectively, the "Platform"), including any services made available through the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy, which together constitute a legally binding agreement between you and InfinityOps Tech LLC, the owner and operator of Sofrah (referred to as "Sofrah," "Company," "we," "our," or "us").

Please read these Terms carefully before accessing the Platform or placing any Order through our services.

By accessing, browsing, registering for, or using the Platform, you become a user of the Platform ("User," "you," or "your") and agree to comply with these Terms and all applicable laws, regulations, and legal requirements governing your use of the Platform.

You are responsible for making all arrangements necessary to access the Platform and for ensuring that any person who accesses the Platform through your internet connection or account is aware of and complies with these Terms.

By accessing, viewing, browsing, submitting content to, or otherwise using the Platform, you agree that these Terms constitute a legally binding agreement between you and the Company without limitation or qualification. References to "you" include any individual or legal entity accessing or using the Platform.

If you do not agree to these Terms, you must immediately discontinue accessing and using the Platform.

The Company reserves the right to modify, amend, or update these Terms at any time at its sole discretion. Any revised version will become effective upon publication on the Platform unless otherwise stated. Your continued access to or use of the Platform after any changes become effective constitutes your acceptance of the revised Terms. You are encouraged to review these Terms periodically to remain informed of any updates.

Description of the Services

Sofrah provides an online marketplace that connects users with restaurants, grocery stores, retailers, service providers, and other independent merchants (collectively, the "Merchants") to enable users to browse, purchase, and order products and services through the Platform.

Sofrah's role is to operate and maintain the Platform, facilitate the placement and management of Orders, process payments where applicable, and improve the overall user experience. Unless expressly stated otherwise, Sofrah is not the seller, supplier, manufacturer, distributor, or owner of the products or services offered by Merchants through the Platform.

Through the Platform, users may order a wide range of products and services, including, without limitation, prepared food, beverages, groceries, flowers, pharmaceuticals and healthcare products (where legally permitted), consumer goods, and other products or services made available by Merchants.

Each Merchant is solely responsible for its products and services, including their availability, pricing, descriptions, quality, safety, ingredients, specifications, preparation, packaging, delivery, and compliance with all applicable laws, regulations, licensing requirements, and industry standards.

Sofrah does not independently verify the accuracy of any information, representations, certifications, labels, or claims made by Merchants regarding their products or services, including, without limitation, claims such as "organic," "vegan," "gluten-free," "lactose-free," "nut-free," or any information relating to ingredients, allergens, dietary requirements, health claims, certifications, or quality standards. All such information is provided solely by the relevant Merchant.

If you have food allergies, medical conditions, dietary restrictions, or require specific information regarding ingredients or products, you are responsible for contacting the Merchant directly before placing your Order. Sofrah accepts no responsibility for the accuracy, completeness, or currency of such information provided by Merchants.

The Platform may allow you to submit special instructions or requests with your Order. Sofrah and the Merchant will use reasonable efforts to communicate and accommodate such requests where practicable. However, neither Sofrah nor the Merchant guarantees that all special requests can or will be fulfilled, and the Merchant may decline or disregard such requests where they are impractical, operationally infeasible, inconsistent with safety requirements, or prohibited by applicable law.

To the fullest extent permitted by applicable law, Sofrah does not guarantee the quality, safety, legality, suitability, or availability of any products or services offered by Merchants, nor does it guarantee that such products or services will meet your expectations or requirements. Sofrah shall not be liable for any loss, damage, injury, illness, or claim arising from products or services supplied by a Merchant.

You are solely responsible for providing accurate and complete delivery, pickup, and contact information. Sofrah shall not be responsible for any delay, failed delivery, additional costs, or other losses resulting from inaccurate, incomplete, or outdated information provided by you.

Sofrah and the Merchants will use reasonable efforts to prepare, deliver, or make Orders available within the estimated timeframes displayed on the Platform. However, all preparation, delivery, and pickup times are estimates only and may be affected by factors beyond reasonable control, including weather conditions, traffic, operational delays, technical issues, high demand, or other unforeseen circumstances. Accordingly, Sofrah does not guarantee any estimated time and will make reasonable efforts to notify you of any significant delays when practicable.

Sofrah reserves the right to restrict, suspend, remove, or discontinue any Merchant, product, service, category, or geographic area from the Platform, or to restrict the availability of certain products or services where necessary to comply with applicable laws, regulatory requirements, operational needs, security considerations, or legitimate business reasons.

Creating an Account

To access certain features of the Platform, you may be required to create a Sofrah account. When creating an account, you must provide accurate, complete, and up-to-date information and keep it updated at all times.

You are responsible for maintaining the confidentiality of your account credentials, including your username, password, and any authentication methods associated with your account. You are solely responsible for all activities that occur under your account unless such activities result from Sofrah's negligence or a security failure attributable to Sofrah.

If you know or reasonably suspect that your account credentials have been compromised or that your account has been accessed without authorization, you must notify Sofrah immediately through the available support channels.

By creating an account and using the Platform, you represent and warrant that all information you provide is accurate, complete, and current. You agree not to impersonate any person or entity, create an account using false or misleading information, or use a name that you are not legally authorized to use.

Unless otherwise authorized by Sofrah, each individual may maintain only one personal account. Creating multiple accounts to obtain promotional benefits, discounts, credits, or other advantages, or for any fraudulent or abusive purpose, is strictly prohibited and may result in the suspension or termination of one or more accounts.

You agree not to use the Platform for any unlawful, unauthorized, fraudulent, or abusive purpose, including, without limitation:

• Uploading, publishing, transmitting, or distributing any content that is unlawful, defamatory, abusive, threatening, harmful, obscene, fraudulent, misleading, or otherwise objectionable.
• Interfering with or disrupting the operation of the Platform or the use and enjoyment of the Platform by other users.
• Attempting to gain unauthorized access to the Platform, its systems, servers, databases, or connected networks through hacking, credential theft, impersonation, or any other unlawful means.
• Circumventing, disabling, or interfering with any security features or technical protections implemented by Sofrah.

To provide the Services, Sofrah may share certain account information, such as your name, phone number, delivery address, or other information necessary to fulfill your Order, with Merchants, delivery partners, payment providers, and other service providers, solely to the extent necessary to provide the Services and in accordance with the Privacy Policy.

You may delete your account at any time through the account settings available on the Platform, subject to any outstanding Orders, payment obligations, or legal requirements that require us to retain certain information, as described in our Privacy Policy.

How to Place and Process an Order

After selecting the products or services from your chosen Merchant, you may review your Order and complete the checkout process by clicking the "Place Order" button or any similar confirmation button displayed on the Platform.

Before confirming your Order, you are responsible for reviewing all information you have provided, including the selected items, delivery or pickup details, contact information, and payment method, and ensuring that it is accurate and complete. Once your Order has been confirmed, certain details may no longer be modified or the Order may no longer be cancelled, depending on the stage of processing and the Merchant's policies.

Once your Order is submitted, Sofrah will process it and transmit it to the selected Merchant. You will receive a confirmation notification or message acknowledging that your Order has been successfully received and forwarded to the Merchant. This confirmation acknowledges receipt of your Order by the Platform only and does not constitute the Merchant's acceptance of the Order or the formation of a contract for the sale of goods or provision of services.

Your Order will be deemed accepted when the Merchant confirms its acceptance through the Platform or begins preparing the Order, as applicable. If the Merchant declines the Order or is unable to fulfill it for any reason, you will be notified accordingly, and any payments made will be handled in accordance with the Cancellation and Refund Policy and these Terms.

If your payment is declined, rejected, cannot be successfully processed, or is otherwise not authorized by the payment service provider, your Order will not be considered complete, and neither Sofrah nor the Merchant will be obligated to fulfill it until successful payment has been received where the selected payment method requires prepayment.

Order Cancellation

You may cancel your Order and receive a full refund at any time before the Merchant accepts your Order.

If you wish to cancel your Order after it has been accepted by the Merchant, you should contact Sofrah through the support channels available on the Platform as soon as possible. Once an Order has been accepted or preparation has begun, cancellation may not be possible, or only a partial refund may be available, depending on the circumstances, the Merchant's policies, and applicable law.

The Merchant may also cancel an Order after it has been submitted or accepted due to circumstances such as product unavailability, operational issues, pricing errors, suspected fraud, or other legitimate reasons. Sofrah and its Merchants reserve the right to cancel any Order before or after acceptance, where reasonably necessary. If your Order is cancelled, you will be notified as soon as reasonably practicable.

If an online payment has been successfully processed for a cancelled Order, any eligible refund will be issued to the original payment method, unless otherwise required by applicable law or agreed between you and Sofrah. Refund processing times may vary depending on your payment provider or financial institution and typically take between seven (7) and fourteen (14) business days.

Your Order History may not display Orders that were not successfully completed or that were cancelled before completion.

For Orders involving non-food products, any cancellation, return, exchange, or refund shall be governed by the applicable consumer protection laws and regulations in the country where the Order was placed.

Order Pickup Service

Order Pickup

Where this service is available on the Platform, you may choose to collect your Order directly from the Merchant's premises ("Pickup") instead of having it delivered.

The estimated pickup time will be displayed during checkout and included in your Order confirmation. The Merchant will use reasonable efforts to prepare your Order by the estimated pickup time. However, preparation times are estimates only and may be affected by operational requirements or circumstances beyond the Merchant's reasonable control.

The Merchant may hold your Order for a reasonable period after it is ready for pickup. If you fail to collect your Order within that period, the Merchant may cancel, dispose of, or otherwise handle the Order in accordance with its operational procedures. In such cases, you may not be entitled to a refund, replacement, or any other compensation, except where required by applicable law.

Pickup Responsibility

You are solely responsible for collecting your Order from the Merchant's designated pickup location.

If you delay collecting your Order after it is ready, you assume all risks associated with any deterioration, reduction in quality, spoilage, or change in the condition of the Order, including those resulting from temperature changes or prolonged storage.

Upon collecting your Order, you should inspect it before leaving the Merchant's premises. If you identify any missing items, visible defects, or other issues, you should promptly notify the Merchant or contact Sofrah through the available support channels, whenever reasonably possible, before leaving the pickup location.

Except where required by applicable law, neither Sofrah nor the Merchant shall be liable for any deterioration in the quality or condition of an Order resulting solely from your delay in collecting it.

Your Responsibilities

By accessing or using the Sofrah Platform or any of its Services, you agree to the following:

• You will provide accurate, complete, and up-to-date information when creating your account, placing orders, or otherwise using the Platform. You are solely responsible for any consequences arising from inaccurate, incomplete, or misleading information.
• You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You are responsible for all activities conducted through your account unless such activities result from Sofrah's negligence or security failure.
• You will immediately notify Sofrah if you become aware of any unauthorized access to or use of your account or any other security breach.
• You will use the Platform only for lawful purposes and in a manner that does not interfere with the rights of Sofrah, its users, merchants, delivery partners, or any third party.
• You will not attempt to gain unauthorized access to any part of the Platform, its systems, servers, databases, networks, or related infrastructure, or circumvent any security or technical measures.
• You will not upload, transmit, or distribute any viruses, malware, malicious code, or other harmful technologies that may disrupt or compromise the Platform or its users.
• You will not use robots, crawlers, scrapers, automated scripts, data mining tools, or similar technologies to access, monitor, copy, or extract data from the Platform without Sofrah's prior written consent.
• You will not infringe any intellectual property rights, privacy rights, or other legal rights belonging to Sofrah or any third party.
• You will not use the Platform to distribute spam, unsolicited communications, misleading information, fraudulent content, or any unlawful or abusive material.
• You will not misuse promotional offers, discount codes, referral programs, account credits, or other incentives provided by Sofrah.
• You will not place fraudulent orders, repeatedly submit and cancel orders without legitimate reason, or seek refunds or compensation through fraudulent or abusive conduct.
• You will not use the Platform for unauthorized commercial purposes, resale of Services, or any commercial exploitation without Sofrah's prior written permission.
• You will not copy, reproduce, extract, republish, distribute, modify, or otherwise exploit any part of the Platform or its content, including restaurant menus, images, data, reviews, software, or other materials, except as expressly permitted by these Terms or with Sofrah's prior written consent.
• You are solely responsible for all content, information, files, communications, and materials that you upload, submit, transmit, or otherwise make available through the Platform, as well as for any legal consequences arising from such content.
• Certain Services may require you to use third-party devices, software, internet access, or telecommunications services. You are solely responsible for obtaining and paying for any such services or equipment.
• If you are considered a minor under the laws of your country of residence, you may use the Platform only with the consent and supervision of your parent or legal guardian. The parent or legal guardian permitting such use accepts responsibility for the minor's use of the Platform.
• If you use a payment method that does not belong to you, you represent and warrant that you have obtained all necessary legal authorization from the payment method owner to complete the transaction and that you assume full responsibility for such use.

Sofrah reserves the right to suspend, restrict, or terminate your account or access to the Platform if it reasonably believes that you have violated these Terms, misused the Platform, or engaged in unlawful, fraudulent, or abusive conduct, without prejudice to any other rights or remedies available under applicable law.

User Content

The Platform may allow you to submit, upload, publish, transmit, or otherwise make available content, including reviews, ratings, comments, feedback, text, images, videos, and other materials ("User Content").

You retain ownership of any intellectual property rights that you hold in your User Content. However, by submitting or making User Content available through the Platform, you grant Sofrah a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, store, reproduce, modify, adapt, translate, publish, display, distribute, and otherwise use your User Content solely for the purposes of operating, maintaining, improving, promoting, and providing the Platform and its Services.

You represent and warrant that:

• You own or have all necessary rights, permissions, and licenses to submit the User Content.
• Your User Content does not violate any applicable law or the rights of any third party.
• Your User Content is accurate to the best of your knowledge and is not misleading or fraudulent.

You must not upload, post, transmit, or otherwise make available any User Content that:

• Violates any applicable law or regulation.
• Is false, misleading, fraudulent, or deceptive.
• Infringes the intellectual property, privacy, publicity, or other legal rights of any person or entity.
• Contains defamatory, abusive, threatening, harassing, hateful, discriminatory, obscene, or otherwise unlawful material.
• Promotes violence, terrorism, illegal activities, or criminal conduct.
• Contains malware, viruses, malicious code, or other harmful software.
• Includes unauthorized advertising, spam, or unsolicited commercial communications.
• Impersonates another person or entity or misrepresents your affiliation with any person or organization.

Reviews, ratings, and comments submitted through the Platform must be based on genuine personal experiences and must not contain false, misleading, offensive, or unlawful content.

Sofrah reserves the right, but is not obligated, to monitor, review, moderate, edit, restrict, remove, or refuse to publish any User Content that, in its reasonable judgment, violates these Terms, applicable law, or the rights of others, or that may harm the Platform, its users, merchants, or partners.

You remain solely responsible for the User Content that you submit and for the consequences arising from its publication or use.

Sofrah may preserve or disclose User Content where required or permitted by applicable law, including in response to legal requests, court orders, regulatory requirements, or to protect the rights, property, safety, or security of Sofrah, its users, merchants, partners, or the public.

Nothing in this section limits Sofrah's right to investigate suspected violations of these Terms or to cooperate with law enforcement authorities or governmental agencies as required or permitted by applicable law.

Acceptable Use Policy

You agree to use the Sofrah Platform and Services only for lawful purposes and in compliance with these Terms and all applicable laws and regulations. The Platform may only be used for its intended purpose, and you must not engage in any activity that is unlawful, fraudulent, harmful, or that interferes with the operation of the Platform or the rights of other users.

Without limitation, you agree not to:

• Violate any applicable law, regulation, court order, or governmental requirement.
• Provide false, inaccurate, misleading, or fraudulent information, or impersonate any person or entity.
• Use the Platform for any unlawful, fraudulent, deceptive, or unauthorized purpose.
• Infringe the intellectual property, privacy, publicity, or other legal rights of any person or entity.
• Upload, post, transmit, or distribute any content that is defamatory, abusive, threatening, harassing, hateful, discriminatory, obscene, sexually explicit, violent, or otherwise unlawful.
• Upload or distribute malware, viruses, malicious code, or any technology intended to damage, disrupt, or gain unauthorized access to the Platform or its users.
• Attempt to gain unauthorized access to the Platform, user accounts, servers, databases, or related systems.
• Interfere with, disrupt, disable, overload, or otherwise compromise the security or functionality of the Platform.
• Use robots, crawlers, scrapers, automated scripts, data mining tools, or similar technologies to access, monitor, copy, or collect data from the Platform without Sofrah's prior written permission.
• Create multiple accounts, use fake identities, or access another user's account without authorization.
• Place fraudulent orders, repeatedly place and cancel orders without legitimate reason, or otherwise misuse the ordering system.
• Abuse promotional offers, referral programs, discounts, coupons, credits, or other incentives provided by Sofrah.
• Sell, resell, license, sublicense, rent, lease, distribute, or commercially exploit any part of the Platform or its Services without prior written authorization from Sofrah.
• Offer, advertise, or sell products or services that are prohibited by applicable law or by Sofrah's policies, including but not limited to: illegal drugs or controlled substances; firearms, ammunition, explosives, or weapons; counterfeit or infringing goods; pornographic or illegal content; or any other products or services prohibited under applicable law.

If Sofrah reasonably believes that you have violated these Terms or engaged in fraudulent, unlawful, abusive, or harmful conduct, Sofrah may, at its sole discretion and to the extent permitted by applicable law:

• Refuse or cancel any order.
• Remove or restrict access to any content.
• Suspend, restrict, or permanently terminate your account.
• Revoke or recover any promotional credits, rewards, discounts, or benefits obtained through misuse or fraud.
• Withhold or recover any account balance or benefits obtained through fraudulent or unauthorized activity.
• Report suspected unlawful activity to the appropriate authorities or cooperate with law enforcement or regulatory agencies where required or permitted by law.
• Take any other legal or technical action necessary to protect Sofrah, its users, merchants, partners, or the Platform.

Sofrah reserves the right to investigate any suspected violation of these Terms. You agree to cooperate with any reasonable investigation and provide information requested by Sofrah, where permitted by applicable law.

Platform Operations and Reserved Rights

Sofrah reserves the right, at its reasonable discretion, to modify, suspend, restrict, or discontinue all or any part of the Platform or its Services at any time, whether temporarily or permanently, including for maintenance, upgrades, security, legal compliance, operational requirements, or technical reasons. Where reasonably practicable, Sofrah will endeavor to provide prior notice of scheduled maintenance or significant service interruptions, but cannot guarantee that such notice will always be possible.

Sofrah may require users to register an account and provide accurate, complete, and up-to-date information in order to access certain features or Services. Sofrah reserves the right to refuse registration, suspend, restrict, or terminate any account where it reasonably believes that the information provided is inaccurate, misleading, fraudulent, or where such action is necessary to protect the Platform, its users, merchants, partners, or comply with applicable law.

While Sofrah strives to provide a reliable and secure Platform, we do not warrant that the Platform or any Services will always be uninterrupted, error-free, secure, timely, or available at all times. We also do not guarantee that any defects or errors will be corrected immediately or that the Platform will always meet your individual expectations.

Sofrah may retain, archive, remove, or delete user-generated content, communications, files, or other materials in accordance with these Terms, the Privacy Policy, applicable law, and our operational requirements. Sofrah is not obligated to retain any such content indefinitely unless required by applicable law.

All intellectual property rights in and to the Platform, including its software, technology, source code, databases, interfaces, designs, graphics, logos, trademarks, text, documentation, and other proprietary materials, are owned by or licensed to Sofrah and are protected under applicable intellectual property laws.

Sofrah acts as a technology platform connecting users with independent restaurants, merchants, and service providers. Restaurants and merchants are solely responsible for the availability, pricing, quality, preparation, legality, and fulfillment of the products or services they offer. If an item becomes unavailable or contains incorrect pricing or product information provided by the merchant, Sofrah may cancel or modify the affected order where reasonably necessary and notify the user accordingly.

The Platform may contain links to third-party websites, applications, or services for your convenience. Sofrah does not control, endorse, or assume responsibility for the availability, content, products, services, or privacy practices of such third parties.

Sofrah may introduce new features or Services, modify existing Services, discontinue certain features, or make certain Services available only to registered users or on a paid basis. Any such changes will be subject to these Terms and applicable law.

Ratings and Reviews

Sofrah allows users to submit ratings, reviews, comments, and feedback regarding restaurants, service providers, orders, and their overall experience with the Platform to help other users make informed decisions and to improve the quality of our services.

Review Guidelines

To maintain the quality and reliability of reviews, all ratings and comments should:

• Be based on a genuine, first-hand experience with the restaurant, service provider, or order.
• Be truthful, accurate, and reflect the user's honest opinion.
• Be relevant to the service, order, or Platform experience.
• Be respectful and free from offensive or abusive language.

Prohibited Content

Sofrah may, in its reasonable discretion, reject, hide, edit, or remove any rating, review, or comment that includes, without limitation:

• Offensive, abusive, defamatory, obscene, threatening, discriminatory, or hateful language.
• False, misleading, deceptive, or fraudulent information.
• Content that is unrelated to the relevant order, service, or Platform.
• Personal data or confidential information relating to any individual without their consent.
• Content that infringes the intellectual property rights or other legal rights of any third party.
• Advertising, promotional material, spam, or unsolicited commercial content.
• Reviews intended to unfairly harm competitors, manipulate ratings, or create a conflict of interest.
• Any content that Sofrah reasonably determines may violate these Terms, applicable law, or adversely affect the Platform, its users, merchants, or partners.

No Endorsement

Ratings, reviews, and comments reflect solely the opinions of the users who submit them and do not represent the views, recommendations, or endorsements of Sofrah, its affiliates, employees, partners, or service providers.

Sofrah does not guarantee the accuracy, completeness, reliability, or legality of any user-generated content and disclaims any liability arising from such content to the fullest extent permitted by applicable law.

License to User Content

By submitting or posting any rating, review, comment, feedback, or other content through the Platform, you grant Sofrah a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, store, host, display, publish, modify, adapt, translate, distribute, and otherwise use such content for the purpose of operating, maintaining, improving, promoting, and providing the Platform and its Services, in accordance with applicable law.

You retain ownership of the content you submit. However, you represent and warrant that you own, or have all necessary rights, permissions, and authority to submit such content and to grant the license described above, and that your content does not violate the rights of any third party or any applicable law.

Suspension and Termination

Sofrah may, in its reasonable discretion, suspend, restrict, or terminate your access to the Platform, your account, or any part of the Services, at any time, if Sofrah reasonably believes that:

• You have violated these Terms or any applicable policies.
• You have used the Platform in an unlawful, fraudulent, abusive, or unauthorized manner.
• Your use of the Platform poses a risk to the security, integrity, or operation of the Platform or to other users, merchants, partners, or service providers.
• Such action is necessary to comply with applicable laws, regulations, court orders, or requests from competent authorities.
• Such action is necessary to protect the rights, property, legitimate interests, or safety of Sofrah, its users, merchants, partners, service providers, or the public.

Where reasonably practicable and permitted by applicable law, Sofrah may notify you and provide you with a reasonable opportunity to explain the circumstances or remedy the violation before suspending or terminating your account, unless immediate action is necessary for legal, security, operational, or fraud prevention reasons.

The suspension or termination of your account shall not affect any rights, obligations, or liabilities that accrued before the effective date of such suspension or termination, including any outstanding payment obligations or legal claims.

You may also stop using the Platform or permanently delete your account at any time, subject to any applicable legal, regulatory, or contractual obligations, and in accordance with the procedures described in the Privacy Policy or made available through the Platform.

Restrictions on Non-Personal and Commercial Use

Access to and use of the Sofrah Platform is provided solely for your personal, non-commercial use unless Sofrah has expressly authorized otherwise in writing.

Except with Sofrah's prior written consent, you may not use any part of the Platform, its content, data, materials, or services for any commercial purpose, nor may you copy, reproduce, republish, distribute, sell, license, sublicense, exploit, or otherwise use them in any manner.

You acknowledge that any unauthorized use of the Platform or its content may cause substantial harm to Sofrah for which monetary damages alone may not constitute an adequate remedy. Accordingly, in addition to any other rights or remedies available under applicable law, Sofrah reserves the right to seek injunctive relief, equitable relief, or any other legal remedies available to prevent or stop any unauthorized use of the Platform or its content, to the extent permitted by applicable law.

Refund Policy

Refund requests are reviewed on a case-by-case basis, taking into account all relevant circumstances, including the nature of the issue, the order details, information provided by the restaurant or service provider, delivery information (where applicable), and any other relevant evidence.

Where a refund is approved, it may be issued in one of the following forms, as determined by Sofrah or required by applicable law:

• A refund to the original payment method;
• Store credit or wallet balance (where available);
• A replacement or redelivery of the affected item, where appropriate; or
• Any other remedy agreed upon with the customer.

A full or partial refund may be granted in circumstances including, but not limited to:

• The order was not delivered.
• The order was cancelled after payment.
• Items were missing from the order.
• Incorrect items were delivered.
• The order was materially damaged, defective, or did not substantially match the order placed.
• Any other circumstance where Sofrah determines that a refund is appropriate.

Refund processing times may vary depending on the payment method used, the payment service provider, and the financial institution involved. While Sofrah will make reasonable efforts to process approved refunds promptly, we are not responsible for delays caused by third-party payment providers or financial institutions.

For orders fulfilled by independent restaurants or service providers, refunds may also be subject to the policies of the applicable merchant, provided that such policies comply with applicable consumer protection laws.

Nothing in this Refund Policy limits or excludes any mandatory consumer rights that you may have under applicable law.

Pricing and Payments

When you place an order through the Sofrah Platform and the order is accepted by the relevant restaurant or service provider, a contractual relationship is formed between you and the restaurant or service provider for the fulfillment of that order. The restaurant or service provider is solely responsible for preparing, fulfilling, and delivering the order (where applicable), while Sofrah acts as a technology platform facilitating the ordering process, unless otherwise expressly stated.

All prices displayed on the Platform are shown in the applicable local currency for the country or region where the service is provided. Prices may include applicable taxes and mandatory governmental charges where required by law, unless otherwise stated.

Prices, promotions, discounts, and offers available through the Platform may differ from those offered directly by restaurants or service providers through their own websites, mobile applications, physical locations, or other sales channels.

Your order may include additional charges, including but not limited to delivery fees, service fees, small order fees, operational fees, or other applicable charges. All applicable fees and charges will be clearly displayed before you confirm your order. Sofrah reserves the right to introduce, modify, or remove any fees at any time, subject to applicable law and operational requirements.

By confirming your order, you acknowledge and agree to pay the total amount displayed at checkout, including the purchase price, applicable taxes, fees, and any other charges presented before payment is completed.

Payment Methods

Sofrah offers various payment methods depending on availability in your country or region, which may include electronic payments, cash on delivery, digital wallets, payment cards, or other payment methods that may be introduced from time to time.

Sofrah reserves the right to add, remove, suspend, or modify available payment methods at any time for operational, legal, security, or technical reasons.

Where electronic payment is selected, payment transactions are processed by independent third-party payment service providers that comply with applicable security and regulatory standards. Sofrah does not store complete payment card information, including card numbers, CVV security codes, or PINs.

If you choose to save a payment method for future transactions, your payment credentials are stored and managed by the applicable payment service provider in accordance with its own terms and privacy policy. Sofrah does not retain your complete payment card details on its systems.

Electronic Records

You agree that the electronic records, transaction records, communications, logs, and other data maintained or generated by Sofrah in connection with your use of the Platform may be used as evidence in any legal, administrative, regulatory, or judicial proceeding, to the extent permitted by applicable law.

Nothing in this section limits or waives any rights or evidentiary protections available to any party under applicable law. The admissibility, evidentiary value, and legal effect of such electronic records shall be determined in accordance with the governing law.

Governing Law and Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms of Use or your access to or use of the Sofrah Platform, including any non-contractual disputes or claims, shall be subject to the exclusive jurisdiction of the competent state or federal courts located in the State of Wyoming, United States of America.

Nothing in these Terms shall affect any mandatory rights or consumer protections that apply under the laws of your country of residence, to the extent such rights cannot be lawfully waived or limited by agreement.

Severability

If any provision of these Terms of Use is held to be unlawful, invalid, or unenforceable by a court or other competent authority, that provision shall, to the extent required, be deemed severed from these Terms and shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.

Any failure or delay by Sofrah to exercise or enforce any right or provision under these Terms shall not constitute a waiver of that right or provision, nor shall any waiver of any breach be deemed a waiver of any preceding, continuing, or subsequent breach.

License

Subject to your compliance with these Terms of Use, Sofrah grants you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for your personal, non-commercial use and in accordance with these Terms and applicable law.

This license does not grant you any ownership rights in the Platform or any part of it. All rights not expressly granted under these Terms are reserved by Sofrah.

Unless expressly authorized in writing by Sofrah or permitted by applicable law, you may not:

• Copy, reproduce, modify, adapt, translate, distribute, publish, display, sell, license, or otherwise exploit any part of the Platform or its content.
• Create derivative works based on the Platform or any of its content.
• Use the Platform or its content for any commercial purpose or for resale of any services or content.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover or derive the source code, underlying ideas, algorithms, or technology of the Platform.
• Use any robot, spider, crawler, scraper, data mining tool, automated process, or similar technology to access, collect, copy, monitor, index, or extract any part of the Platform or its content.
• Bypass, disable, interfere with, or attempt to circumvent any security measures or technical protections implemented by Sofrah.
• Use any content, data, or information available through the Platform to develop, train, or improve any artificial intelligence, machine learning model, or similar technology without Sofrah's prior written consent.
• Deep link to, frame, mirror, or otherwise incorporate any part of the Platform into another website, application, or service without Sofrah's prior written permission.

You may share publicly available links to the Platform or its content through social media or other lawful means, provided that such sharing does not imply any affiliation with, endorsement by, or sponsorship from Sofrah and does not violate these Terms or applicable law.

Sofrah reserves the right to suspend, restrict, or terminate this license at any time if you violate these Terms of Use or use the Platform in an unauthorized manner, without prejudice to any other rights or remedies available under applicable law.

Intellectual Property Rights

All intellectual property rights relating to the Sofrah Platform, including, without limitation, trademarks, trade names, logos, designs, graphics, images, icons, text, software, databases, user interfaces, content, marketing materials, and any other materials or features made available through the Platform, are owned by or licensed to Sofrah or its licensors and are protected by applicable intellectual property laws.

Nothing in these Terms of Use grants you any ownership rights or license to use any of Sofrah's intellectual property, except for the limited right to access and use the Platform in accordance with these Terms.

Without Sofrah's prior written consent, or the consent of the applicable rights holder, you may not:

• Copy, reproduce, modify, adapt, translate, distribute, publish, display, sell, license, or otherwise exploit any part of the Platform or its content.
• Use any Sofrah trademark, trade name, logo, branding, or any third-party intellectual property displayed on the Platform.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform, except to the extent expressly permitted by applicable law.
• Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices displayed on the Platform.

Any unauthorized use of Sofrah's intellectual property or that of its licensors or other rights holders may constitute a violation of applicable laws and these Terms. Sofrah reserves the right to take any legal action available to protect its intellectual property rights, including seeking injunctive relief, damages, and any other remedies available under applicable law.

Sofrah does not warrant that your use of any third-party content or materials made available through the Platform will not infringe the rights of third parties. You are solely responsible for ensuring that your use of such content or materials complies with applicable laws and any applicable third-party rights.

User Content License

If you submit, upload, post, publish, or otherwise make available any content, including reviews, ratings, comments, images, text, or other materials through the Sofrah Platform (collectively, "User Content"), you retain ownership of your User Content.

By submitting User Content, you grant Sofrah a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, store, host, process, modify, adapt, format, translate, publish, display, distribute, and otherwise use your User Content to the extent necessary to operate, maintain, improve, promote, and provide the Platform and its services, and to comply with applicable legal obligations.

You represent and warrant that:

• You own or have all necessary rights, permissions, and authorizations to submit the User Content and grant the license described in this section.
• Your User Content does not infringe any intellectual property rights, privacy rights, publicity rights, or any other rights of any third party.
• Your User Content does not contain any unlawful, fraudulent, defamatory, misleading, abusive, offensive, or otherwise prohibited material, and complies with these Terms of Use and applicable laws.

Sofrah reserves the right, but is not obligated, to review, moderate, refuse, remove, restrict access to, or edit any User Content if it reasonably believes that such content violates these Terms of Use, applicable law, or may harm the Platform, its users, or any third party.

Nothing in this section obligates Sofrah to use or publish any User Content, and no compensation or payment shall be due to you for any use of your User Content, unless otherwise required by applicable law.

Limitation of Liability

To the fullest extent permitted by applicable law, the Sofrah Platform and all services, content, and materials made available through it are provided on an "as is" and "as available" basis.

Subject to applicable law, Sofrah, its affiliates, directors, officers, employees, agents, licensors, and service providers shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including, without limitation, loss of profits, loss of revenue, loss of business opportunities, loss of data, business interruption, or any other commercial losses arising out of or relating to:

• Your access to or use of, or inability to access or use, the Platform or its services.
• Any interruption, delay, error, defect, or unavailability of the Platform.
• Any viruses, malware, or other harmful components transmitted through the Platform by third parties.
• Any reliance placed on information or content available through the Platform.
• The acts, omissions, products, or services of restaurants, merchants, delivery partners, payment service providers, or any other third parties.

Sofrah acts solely as a technology platform that facilitates the connection between users, restaurants, delivery partners, and other service providers. Unless expressly stated otherwise, Sofrah is not the seller, manufacturer, preparer, or owner of the products offered by restaurants through the Platform.

Restaurants are solely responsible for the preparation, quality, safety, description, availability, pricing, packaging, and compliance of the products they offer. Where delivery is performed by the restaurant or an independent delivery partner, that party is solely responsible for the delivery process and its performance.

Accordingly, Sofrah shall not be liable for any loss, damage, expense, claim, or dispute arising from your contractual relationship with any restaurant, merchant, delivery partner, or other third-party service provider.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Sofrah, its affiliates, subsidiaries, parent companies, directors, officers, employees, agents, contractors, licensors, and service providers from and against any claims, demands, actions, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

• Your access to or use of the Sofrah Platform or its services.
• Your violation of these Terms of Use or any applicable policies or agreements.
• Your violation of any applicable law, regulation, or the rights of any third party, including intellectual property, privacy, or other proprietary rights.
• Any content, information, or materials that you submit, upload, publish, or otherwise make available through the Platform.
• Any unauthorized, unlawful, fraudulent, or negligent use of your account or the Platform.

This indemnification obligation shall not apply to the extent that any claim, loss, or liability results from Sofrah's gross negligence, willful misconduct, or any liability that cannot be excluded or limited under applicable law.

Amendments to the Terms

Sofrah reserves the right to modify, update, or revise these Terms of Use at any time to reflect changes in our services, legal or regulatory requirements, or operational needs.

Any changes will become effective upon publication on the Platform, unless otherwise required by applicable law or expressly stated otherwise. Where required by law or where the changes are material, we may also notify users through appropriate means, such as email, in-app notifications, or notices on the Platform.

You are responsible for reviewing these Terms periodically to remain informed of any updates. Your continued use of the Platform after the revised Terms become effective constitutes your acceptance of the updated Terms.

If you do not agree to any modification to these Terms, you must immediately discontinue your use of the Platform and its services.

Disclaimer

The Sofrah Platform, including all content, features, products, services, software, text, images, graphics, videos, documentation, and other materials made available through the Platform, whether provided by Sofrah, its partners, merchants, users, or third parties, is provided on an "as is" and "as available" basis.

To the fullest extent permitted by applicable law, Sofrah disclaims all representations, warranties, and guarantees of any kind, whether express, implied, statutory, or otherwise, including, without limitation:

• Merchantability.
• Fitness for a particular purpose.
• Accuracy, completeness, or reliability of the information or content.
• Non-infringement of intellectual property or other rights.
• Continuous, uninterrupted, timely, secure, or error-free operation of the Platform.
• Freedom from viruses, malware, or other harmful components.

Sofrah does not guarantee that the Platform, its services, or any content made available through it will always meet your expectations or requirements, or that any defects or errors will be identified or corrected.

You acknowledge and agree that your use of the Platform and its services is at your own risk and that you are solely responsible for any decisions or actions taken based on the information or services provided through the Platform.

Nothing in these Terms excludes or limits any rights that cannot be excluded or limited under applicable law.

Governing Language

These Terms of Use are available in both English and Arabic. In the event of any conflict, inconsistency, or discrepancy between the two versions, the English version shall prevail and govern the interpretation of these Terms, to the extent permitted by applicable law.
